SOFTWARE LICENSE AGREEMENT

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT USE THE SOFTWARE.

1. GRANT OF LICENSE. Subject to the terms and conditions of this License, Pramod ("Licensor") hereby grants to the end-user ("Licensee") a non-exclusive, non-transferable license (the "License") to use the software in only one application/project.

2. RESTRICTIONS ON USE. Licensee may not resell, sublicense, rent, lease, distribute, or otherwise transfer the software or any portion of it in any form, to any third party.

3. MODIFICATIONS. Licensee is allowed to extend and customize the software to suit their specific requirements. However, any modified versions of the software shall remain the property of Licensor, and Licensee may not distribute or sublicense the modified software.

4. OWNERSHIP. Licensor retains all right, title, and interest in and to the software, including all copyrights, patents, trade secret rights, trademarks, and other intellectual property rights.

5. TERMINATION. This License is effective until terminated. Licensee may terminate it at any time by destroying all copies of the software. This License will terminate immediately without notice from Licensor if Licensee fails to comply with any provision of this License.

6. DISCLAIMER OF WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

7. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW. This License shall be governed by and construed in accordance with the laws of India.

9. ENTIRE AGREEMENT. This License constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings, whether oral or written, relating to the subject matter of this License.
